Terms of Service

These Terms of Service (“Terms”) form a legal agreement between you (“you”, “your business”) and Kye Prior, trading as TradeTerra (“TradeTerra”, “we”, “us”). Kye Prior operates TradeTerra as a sole trader in the United Kingdom. We are nota limited company, there is no “TradeTerra Ltd”, and we do not have a Companies House company number. Legal correspondence: 417 Avonside House, East Station Road, Peterborough, PE2 8UA, United Kingdom. By creating an account or using the Service, you agree to these Terms.

1. The service

TradeTerra provides a web-based platform that helps small UK trade businesses capture leads, recover missed calls, create and send quotes, convert quotes into jobs, track work, and issue invoices (the “Service”).

2. Your account

You must be at least 18, authorised to bind the business you register, and provide accurate information. You are responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us at support@tradeterra.co.uk if you suspect unauthorised use.

3. Subscription, trial and payment

The Service is sold on monthly subscription plans (Core, Connect, and Premium Relay) at the prices shown when you subscribe and at checkout (excluding VAT unless otherwise stated). New subscribers receive a free trial (typically 14 days) from first subscribing, as shown in the product. You must add a valid payment method to start the trial. If you do not cancel before the trial ends, your card will be charged the standard monthly fee for the plan you selected.

Subscription fees are non-refundable except where required by law. Payments are processed by Stripe. We do not store your full card details on our servers.

4. Cancelling your subscription

You can cancel at any time from Settings → Billing inside the app. Cancellation takes effect at the end of your current paid period (or at the end of your trial, if cancelled during the trial). You keep full access until then. No further payments will be taken after cancellation.

5. Customer payments to you

The Service lets you display your own bank details on invoices so your customers can pay you directly by bank transfer. TradeTerra is not a payment processor for these invoices, does not receive, hold or handle those funds, and is not party to the transaction between you and your customer. You are solely responsible for collecting, banking, refunding and accounting for those payments.

6. Your data, your customers' data

You retain ownership of all content you upload, including customer records, quotes, invoices, photos and messages. We process this data on your behalf as a data processor, strictly to provide the Service to you. For detail on how personal data is handled, see our Privacy Policy and Data Processing Agreement.

You are responsible for complying with UK GDPR, the Data Protection Act 2018, and PECR in respect of the personal data of your end customers, including having a lawful basis to send them SMS and email.

7. Acceptable use

You agree not to use the Service to:

  • send unsolicited marketing or spam;
  • violate the Privacy and Electronic Communications Regulations (PECR), UK GDPR, or any other applicable law;
  • impersonate another business or use another person's data without permission;
  • attempt to probe, scan, reverse engineer, or disrupt the Service;
  • upload content that is unlawful, defamatory, obscene, or infringes intellectual property rights.

Serious or repeated breach may result in immediate suspension or termination of your account.

8. Telephony and messaging

SMS and voice features are delivered via third-party providers (including Twilio Inc.). Message deliverability, inbound call handling, and carrier availability depend on those providers and on UK mobile network operators. Message and call costs may apply where stated.

If you use telephony features, you must provide accurate regulatory or identity information when requested and comply with applicable telecoms, messaging, marketing and customer-consent rules. Number allocation, bundle approval and continued service may depend on third-party checks.

9. Availability and support

We aim to keep the Service available 24/7 but do not guarantee uninterrupted service. We may carry out scheduled maintenance or deploy updates that temporarily affect availability. Support is provided by email on business days at support@tradeterra.co.uk.

10. Intellectual property

All intellectual property rights in the Service (software, design, trademarks, documentation) belong to Kye Prior, trading as TradeTerra, or our licensors. We grant you a non-exclusive, non-transferable, revocable licence to use the Service for the duration of your subscription.

11. Warranties and liability

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all implied warranties and shall not be liable for indirect, consequential, or loss-of-profits damages. Our total aggregate liability to you in any 12-month period shall not exceed the subscription fees you paid us in that period.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded under English law.

12. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. If a change materially reduces your rights, we will notify you by email at least 14 days before it takes effect; in that case you may cancel before the change applies. Continued use after the effective date means you accept the updated Terms.

13. Termination

Either party may terminate this agreement by cancelling the subscription. On termination your access ends at the end of the current paid period. We may keep limited records as required by law (e.g. for tax). You can contact us before termination to request a reasonable export of your account data; see the Privacy Policy for details.

14. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or in connection with them.
